The magic square?

Late yesterday afternoon we broke some welcome news: a magic circle firm is trying to save jobs.

Well, kind of. In contrast to the bloodbaths scheduled at rivals Linklaters and Clifford Chance, Freshfields is to launch an intensive programme to reassure associates that they have a future with the firm (see story).

From next week the firm will run up to a hundred presentations aimed at encouraging people to broaden their individual practices. Or in other words, at encouraging them to find some work to avoid the boot.

None of which will mean much to magic circle trainees, however, who as we revealed this week, are all but guaranteed a job regardless (see story).

Anyway, speaking of the magic circle, an interesting row has broken out between readers on the Freshfields story due to our line that Freshfields is the 'only magic circle not to have announced a formal redundancy programme'. "What about Slaughters and A&O?" asked one.

Mike was quick to respond. "Slaughters aren't magic circle, and A&O has announced a major redundancy programme. Can I have a job at The Lawyer please?"

'Sn' was equally quick to respond to Mike. 'Slaughters isn't magic circle? Moron.'

Actually, Mike's basically right. Albeit on a far smaller scale, A&O has made redundancies (see story).

And as for Slaughters, we couldn't put it better than Mike later did himself: "...here's my magic circle: Clifford Chance, Links, Freshers and A&O. Which is not to suggest S and M is a lesser firm - in many respects it's a greater one. But its model is fundamentally different - its character is more like that of a giant, highly-profitable corporate boutique with some international best friend firms."

Spot on, Mike. But no, you can't have a job.

As many of you have read on TheLawyer.com already, Linklaters has finally got round to announcing to its staff the extent of its redundancy programme (see story).

London alone will see up to 270 jobs go - roughly split between 120 lawyers and 150 business support staff.

That's nearly five per cent of the entire workforce, and from the City office alone. You can be sure that the other offices - particularly in western Europe, as we revealed last Friday - will not be unscathed. (For more on that, click here.)

Right now whole swathes of Links employees are shuffling into an awkward series of meetings with the management. Managing partner Simon Davies - less than a year into his role - will be fielding questions from the staff. And judging by comments posted on the story from a number of Links lawyers on the subject, those questions may well have an undercurrent of hostility.

Meanwhile, the bemused trainees have been spared the axe, mostly. As we report, 84 per cent of them are staying on after qualification (see story). But will they have any work to do?

Elsewhere, we've found some good news. Allen & Overy is keeping 91 per cent of its trainees.

Oh, and the sun's shining in the City. As it doubtless is too in Aktau, the 'new Miami', as Gerard Aston, our blogger at Grata Law in Kazakhstan explains in the first of our 'Postcards From...' series (see post).

Lordy. Freshfields really did roll out the heavy artillery this week to big up its latest US hires.

Most of the magic circle firm's top brass turned up on Tuesday (27 January), when The Lawyer popped over to its Madison Avenue office to meet Aaron Marcu, Adam Siegel and Benito Romano, the trio of partners it hired in January from Covington & Burling and Willkie Farr & Gallagher (see story).

All present and correct were Freshfields chief executive Ted Burke, former managing partner and one-time head of litigation Ian Terry, current global disputes head Chris Pugh and the co-head of Freshfields' financial institutions disputes group Andy Hart.

The Lawyer, though surrounded, stood its ground. Why, we asked sceptically, would any US general counsel facing a $25bn suit go to Freshfields, just because the firm has bothered to get a local litigation capability?

With no cases to point to so far by way of evidence, and no work brought across from their old firms that the lawyers were prepared to mention, the best Freshfields' new hires could manage was that, "the era of impenetrable relationships is over".

So, Freshfields has launched a litigation capability in New York just months after fellow magic circle rival Clifford Chance was forced to lay off 20 litigation associates due to low levels of work (see story) and it's expecting US clients to flock to its shores? Unlikely.

And in truth that's not really the plan. The real focus is on providing the firm's European clients with a US disputes capability. Though Freshfields will hardly turn away any US corporates, penetrating the relationships enjoyed by the likes of Cravath, Simpson Thacher and Sullivan & Cromwell will take a little more than the hire of three partners, no matter how notable they may be. Selling the new group to its existing clients in Europe and Asia will be easier.

To their credit, the three partners did admit that if a US client was happy with its existing counsel it would "take time", but that "opportunities would arise".

There you go. There's nothing we like more in these dark days than a spot of optimism.

Linklaters lawyers are on tenterhooks waiting for the firm's announcement tomorrow on its 'New World' redundancy programme - sorry, we mean 'client-focused downshaping' (see story).

Tensions appear to be running high. As one Links associate posted on TheLawyer.com this week: "For the first time since the credit crunch began, it seems that the associates are generally bonding through their mutual hatred of the partners in the department."

Ouch.

"However, to add insult to injury 10 per cent of us probably won't be at Links from the beginning of March, the banking partners are pretending to be morons and saying that they didn't know that the redundancies were about to be announced."

Ouch again.

The one group of people apparently safer than others? Trainees. As we reveal today, trainee retention rates at Linklaters and Clifford Chance are all but safe as houses (see story).

So will this reassure the worried student who wrote to us asking if their training contract with Linklaters was safe? Many of you are piling in with advice - give your own.

Cadwalader's seven departing partners were hoping for closure last week as they negotiated their departure from the firm for Paul Hastings.

And at The Lawyer we were hoping for a bit of closure ourselves, which is why we wrote this feature documenting the whole sorry story.

And then Cadwalader got nasty (see story).

The atmosphere in the office has been tense since the seven partners resigned - indeed there have been reports of tears - so what Cadwalader stands to gain from suing its own partners is anyone's guess.

It could perhaps save the firm a couple of million dollars in redundancy payments and withheld capital. It may just scare a few more partners in to staying put. But one thing it won't help with is rebuilding the London office.

Would you join Cadwalader now?

Interestingly, the firm has instructed Lewis Silkin partner Michael Burd, who was last seen advising Freshfields on the Peter Bloxham case.

Burd scooped victory for Freshfields in that case but despite his New York upbringing he won't be able to help Cadwalader in a New York court where this dispute could end up.

The three graphs adorning the front page of The Lawyer yesterday (see story) say it all - Linklaters' revenues and profits are headed in the right direction, but it has too many partners.

Senior partner David Cheyne and managing partner Simon Davies are preparing to wield the axe. The question is, where will the cuts come?

Sources suggest Western Europe will bear the brunt of Linklaters New World restructuring. But the firm's New York office is unlikely to escape unscathed.

The magic circle firm is struggling to win over its platinum clients in the US, with M&A largely confined to network-generated deals.

"That's fine," says one former Linklaters partner, "but the bulk of work is advising on deals for clients like BP acquiring a European company that happens to have a subsidiary in Montana. It's bread and butter work, it's not sustainable because it's so low margin and it's not what wants Links wants for the long term."

Linklaters' current US partners remain bullish about their future. They insist the firm is still hiring, particularly in litigation.

"The US office is still in growth mode," says one New York-based Linklaters partner. "It will be a challenging few years for every firm but we feel very confident about our future."

But a crippled economy and miserable deal flow is putting the firm's US corporate partners under pressure. The firm will be loath to make cuts in precisely the area it needs to bulk up, but a degree of restructuring is inevitable.

The 45 (and counting) comments posted on our Linklaters layoffs exclusive suggest it caused something of a stir (see story).

"This is the dawning of a new era for the magic circle," wrote one poster.

And as our top story today explains, the lay-offs mark the start of an arms race between Linklaters and Freshfields (see story).

But for all that, a little context into the cuts is essential.

First up, as we made clear, it's 'up to' 70 partner departures, not 70 partner departures - the detail of the firm's slightly scary-sounding New World plan is far from set in stone.

And while that eye-catching figure provides a little relief for other firms eager to duck the limelight of their own redundancy packages, consider the size of the Linklaters partnership against those of other firms planning culls such as Ashurst; Baker McKenzie; LG; Mishcons and SJ Berwin before you make any favourable comparison.

Oh, unless you're Clifford Chance, that is (see story). Or Freshfields.

The Lawyer is bringing you one of the biggest stories of the year - and it's all about Linklaters.

As we reveal exclusively today, the magic circle firm is considering axing up to 70 partners (see story).

That's some pruning. And it beats Ashursts and Addleshaws, which - as revealed by The Lawyer earlier this week - are parting with ten and nineteen respectively.

So is this recession-related? Not entirely. Managing partner Simon Davies is looking a little bit further ahead, examining what sort of legal services will be big business in the coming decades.

Hence the name of Davies' plan: New World. It's missing the 'Brave', though; after all, Davies and senior partner David Cheyne are going to need some balls to carry this out.

Where Clifford Chance falters Freshfields follows, it seems, with CC's Anglo-German rival having decided to launch a US litigation practice (see story).

The new litigation base in New York, founded with three local partner hires, is an attempt to capitalise on the firm's beachhead in US arbitration, says chief exec Ted Burke, and follows advice from several clients to launch the group.

"There's no such thing as a sure bet, but of course we wouldn't do this if we didn't think it was going to be successful," he adds.

But then that's what Clifford Chance might have said.

Blighted by a lack of work, CC's US litigation practice in October laid off 20 lawyers (see story), and shortly before Christmas suffered four partner defections in a week (see story).

Meaning that Freshfields' move into the very same market takes some serious cojones.

But not, however, that there's no work to be had. As Dechert New York litigation head Robert Cohen told us late last year, disputes "are coming from all sides."

And as Simpson Thacher litigation partner Jonathan Youngwood added, "any foreign company with interests in the US is going to end up having business in the US courts."

The real question is who is going to get that work. Our feature in November laid out the prospects for the US litigation market (see feature). Shortly before it, our Transatlantic Elite run-down of international players included the Sweet Sixteen, an elite group of firms that has either invested heavily in an overseas network, or whose brand is so strong they can rely on top clients despite their lack of international presence (see feature).

This group - of which Freshfields is a member - has long been positioning itself for the quality work when the crunch hit.

As more financial results poured forth yesterday, for once the news wasn't all bad (see story).

It's probably stretching it to call it the Obama effect - although the feel-good factor permeating most of the US has been out in force this week.

K&L Gates head Pete Kalis won't be too sad that his firm failed to break through the billion-dollar revenue barrier last year. The 27 per cent increase in global revenue to $959.4m is almost certain to be bettered in 2009 in monetary, if not growth, terms. And the firm's latest bolt on, Chicago-based Bell Boyd & Lloyd, should help, with the addition due to start contributing to the acquisitive firm's fee income later this year.

Elsewhere it was stunned silences in certain quarters as White & Case - yes, as in the 'we are undergoing a permanent management overhaul' White & Case - managed an increase of 7 per cent in revenue to $1.467bn despite all its navel gazing.

WilmerHale's two Bills - co-managing partners Lee and Perlstein - were satisfied with similarly twin increases in profits and revenues, even if they were in the region of 1 per cent each.

Not to be left out, Weil Gotshal & Manges had already posted a 4 per cent increase in revenue to $1.23bn earlier this week (see story).

In a legal market continually rocked by layoffs, the positive results posted by US firms yesterday offered some reassurance that the sky had not fallen in quite yet.

Of course, this is just a snapshot. The full US picture won't be known for a month or two until all the major firms have closed their books and divvied up the cash.

Until then, look to The Lawyer's annual rolling US Rev Counter. From Monday we will be keeping track of the American firms' figures as they unfold. As ever, it will be required reading.

Addleshaw Goddard has broken ranks and has the dubious honour of being the first UK 200 firm to announce that it is cutting partners. Nineteen - yes you read that right - 19 of them (see story).

While Addleshaws has bravely decided to face the music, Ashurst has chosen to keep schtum and has declined to comment on the news that it has shown 10 partners the door (see story). Call it the Linklaters strategy.

Partner departures have been the untold story of this recession so far, with rumours circulating about which firms have been cutting partners from which departments.

While Addleshaws decision to come clean has not pushed Ashurst towards transparency, it may provoke other firms to follow suit. (Linklaters aside.)

All these partner departures have rather stolen the limelight from the news that Tyco legal mastermind and The Lawyer's in-house lawyer of the year Trevor Faure, has also jumped ship - albeit voluntarily (see story).

If you're wondering what that noise is, it's the thundering hooves of the Four Horsemen of the Apocalypse.

Yes, if the news of the last 24 hours is anything to go by, the end of the world really is here, and those skeletal horsemen will soon drag your children away (if the bailiffs haven't already).

First up, Denton Wilde Sapte is to make 80 redundant (see story).

Second, Leeds' Fox Hayes is going into administration (see story). Which follows hot on the heels of Howes Percival making six redundancies (see story).

Meanwhile Herbies is busy on the administration of Nortel (see story), Slaughters and Freshfields are trying to save the British banking system (see story), and Ireland's Arthur Cox is working on the nationalisation of Anglo Irish bank (see story).

See what we mean?

But gloomy as all that might seem, as this week's leader makes clear, there really are some green shoots (see leader). Seriously!

First up, Berwin Leighton Paisner has hired - that's right, hired - some 70 lawyers (see story), and is laying the groundwork for a new office in Latin America (see story).

Meanwhile Camerons is looking for a junior merger partner with - get this - a focus on corporate (see story).

And while Fox Hayes might have hit the rocks, most of the firm had already left for nearby Lupton Fawcett anyway, as part of an expansion drive at the latter (see story).

So not so bad after all. Now go out and buy something.

It's not often we get to say this, but today history will be made.

"It's going to be a defining moment in US history," says Pillsbury Winthrop chairman Jim Rishwain, "a special event and maybe the most special event that occurs in the US during 2009."

What's he talking about? What else but the inauguration of President Barack Obama. It is, says Sullivan & Cromwell corporate partner Frank Aquila, "a new chapter".

All over America, and of course in DC, which today virtually shut down for the massive celebrations, people are preparing for the swearing in. Obama's carrying a lot of hopes.

"He has to do whatever it takes to get the economy moving again," argues Aquila's SullCrom partner Jim Morphy. "That's the name of the game, getting confidence back. He'll have so many things coming at him from day one. But I think the critical thing will be attending to the stimulus package. The regulatory changes can follow that."

As ever, a new administration is likely to herald heaps of work for lawyers. There should be plenty of it to go round as the new president looks to rebuild the US's shattered economy.

Rishwain's firm and others with large energy practices are among those that look set to benefit from Obama's arrival. Last Thursday (15 January), the new president's Democratic chums unveiled their blueprint for restarting the economy, an $825bn pack of tax breaks and cash injections that included special deals for renewable energy companies.

Elsewhere the Government's Troubled Asset Relief Program will continue to offer, er, relief to securitisation specialists, not least the group of former Thacher Proffitt & Wood lawyers now at Sonnenschein. If the government goes on buying toxic assets, it's the likes of Tvetenstrand & Co that benefit.

And inevitably there will be more litigation. As one US lawyer puts it: "A Democratic administration is excellent for lawyers. It inevitably means tighter regulation and that automatically leads to increased litigation and antitrust work."

But for some firms, it's all too late. If yours is one of them, here's a handy guide on dissolution and what follows.

Is it a bird? Is it a plane? No, it's a City of London-based law firm with a reputation for high-level corporate work and a market-leading rate of average profit per equity partner.

Okay, so Slaughter and May The Movie would be no more popular than a Charles Randell action figure, but Randell and co are nonetheless the superheroes saving the nation.

Or trying to. The firm is advising the Government on the latest bank bailout package, which the PM hopes will succeed where previous attempts to supply the banks with your money to lend it back to you at interest have failed (see story).

As well as the GBP50bn bank bailout, the firm is also advising the Treasury on its latest investment in RBS, the troubled banking giant that Joe Taxpayer last year purchased 58 per cent of, and in which he has now taken a further 12 per cent.

The deals are the latest stage in a relationship in which Slaughters has been the Treasury's legal hand-holder throughout the credit crunch, including in the original bank bailout in October (see story), and the administration of the Icelandic banks (see story).

As one poster on TheLawyer.com commented last year, "is Slaughter and May turning into a public sector firm?" Have your own say here.

Also involved in both the bailout and RBS deals was Freshfields, a mandate that must have been a welcome fillip for the firm after it was dropped from the Legal & General panel, as exclusively revealed in The Lawyer today (see story).

Still, there's bad news and there's bad news: unlike Clifford Chance and Allen & Overy, Freshfields is one magic circle firm that hasn't yet made redundancies (see story).

At the risk of inviting sarcasm, today's Lawyer News Daily is on the theme of unwanted emails.

Here at The Lawyer, as at any other agenda-setting market leader, we receive hundreds of the things.

Schizophrenic green-inkers? Fake-Viagra sales people? Horny cheerleaders? We get them all. But never more than when we've just done a story on a high street retailer going bust.

Things really kicked off in October after our story on Speechly Bircham being appointed to the administration of home furnishing chain MFI (see story), which attracted a deluge of letters on the subject of missing home furnishings from members of the public.

But unlike Speechly Bircham, we haven't yet had one from the shadow minister for work & pensions.

Yes, Nigel Waterson MP's role working for Eastbourne, Willingdon and East Dean extends, it seems, to writing to law firms about the whereabouts of the missing kitchens of his constituents.

For which we award him A+ for effort; but D- for good thinking.

Diplomatically, Speechly private equity partner and MFI adviser Andrew Clarke wouldn't comment. But we'd suggest that the letter doesn't say great things about the level of business expertise in the shadow cabinet.

Yesterday, we revealed exclusively how Cadwalader Wickersham & Taft was on the verge of losing its London office.

Today, we reveal how it intends to save it (see story).

The masterplan is to send over former chairman Bob Link to lead the strategic development of the firm in Europe.

Link was credited with the rip-roaring success of Cadwalder as it rose to become one of the most profitable firms in Wall Street.

But he was also the man that was held to account when the dream turned sour (see story).

Link has inherited either a hell of a challenge or a bum deal. Cadwalader is left with some securitisation lawyers and a reputation for firing loads of associates - not the easiest platform from which to stage a recovery.

Keeping it Real

It's a big night tonight for Manhattan's real estate community.

Down in the Grand Ballroom of the New York Hilton on the Avenue of the Americas, hundreds of property specialists will converge for the Real Estate Board of New York's 113th annual banquet.

The event is a magnet for lawyers and, traditionally, Cadwalader is one of the firms that likes to throw its own associated shindig. This year, the partners may be huddling together for solidarity.

Twelve months ago, Cadwalader started the year with a bang by laying off 35 associates. Not to be outdone, it's repeated the trick this year by losing virtually all of its London office to Paul Hastings (see story). This is a firm that just can't keep out of the headlines, it seems.

The response in New York to the firm's City woes is simple. Cadwalader is only going to be able to rebuild London if the mothership - New York - is healthy. There are positive signs. The firm just secured the debtor instruction on the large Lyondell bankruptcy in the US. If it can capitalise on this and start winning a slew of significant international debtor cases there may be hope for London.

?It is crucial that this rebuilding starts at home,? says one former partner. ?If it's successful in the US, Cadwalader could potentially attract the right debtor side partners in London.?

Ifs. Buts. There are a lot of those flying around Cadwalader currently.

Anyway, The Lawyer has wangled an invite to tonight's bash and we're very much looking forward to chatting to Chris White about his plans for London (that is, if he's back from his failed attempt to persuade Michelle Duncan & co not to exit stage left).

One thing's for sure. You're unlikely to have to wait long for the next instalment in the continuing saga of Cadwalader.

Cadwalader in crisis... again

The walkout of the majority of Cadwalader Wickersham & Taft's London partnership, which we reported exclusively today, has been brewing for a while now (see story).

It's a nice touch that the New York big guns have flown in for crisis talks, but it's probably too little, too late. If they had shown London this much love at any point over the last two years, this might not have happened.

But Cadwalader's all about cash. And since Andrew Wilkinson left for Goldman Sachs in March 2007 (see story), London has not been billing at the sort of levels that would keep New York interested.

That's not to say that Paul Hastings is about to inherit a bunch of slackers. They make money but not massive profits. And that is what Cadwalader is all about.

Well, what it was all about until this year saw a 30 per cent drop in profits (see story).

In Michelle Duncan and Tom O'Riordan they have bagged a couple of quality litigators, and the restructuring and funds partners fit well with the times we are living in. The bulk of the securitisation group has been left behind.

The partners leave behind the snakepit politics of Cadwalader. There are unlikely to be too many management coups at Paul Hastings, which has a long-serving, genial and ambitious managing partner in Seth Zachary.

This is a big move for the West Coast firm, which has lurked slightly in the shadow of Latham & Watkins in recent years. Many more moves like this though, and it will be stepping right in to the limelight.

It's a class thing

As we report today, the big guns at the Law Society and Bar Council are contributing to a government review of social mobility (see story).

The review targets 'middle class' sectors such as the law, architecture, medicine, the higher ranks of the army and civil service and, er, the media.

Social mobility is an entirely overlooked concern in the law in recent years, with the push on diversity having focused instead largely on gender, ethnicity and sexuality.

At The Lawyer's inaugural diversity conference two years ago, Allen & Overy then-senior partner Guy Beringer refused to accept you could classify anyone on the basis of socio-economic background.

We at The Lawyer begged to differ.

Still, the issue is beginning to gain momentum. Law Society president Paul Marsh points out that "in comparison with many other occupations... the solicitors' profession has a relatively good record with respect to the entry of women and ethnic minorities".

He goes on to provide statistics for the increases in women in the profession over the last ten years and in the number of people from an ethnic minority. But the number of lawyers whose parents were poor? Nothing.

Better to be ethnic and bourgeois, perhaps, than to be Anglo-Saxon and working class.

Clifford Chance redundancies: part 3

Management at Clifford Chance isn't superstitious, it seems, having picked 13 employee representatives to communicate with the 900-odd staff in redundancy talks (see story).

In this latest development in the CC redundancy story, a memo to staff from HR informs them that each of the firm's six main practice areas can vote for two representatives, with an additional representative for the paralegals/bad luck.

The memo explains that the firm is having to make redundancies as "the volume of work coming into the office in many areas has reduced substantially... and the nature of work has also changed significantly" - something that if you didn't know already, you probably shouldn't be working at Clifford Chance anyway.

Gloomily, the memo continues that "this situation is expected to continue for some time to come [and] therefore we must ensure that our business is in the right shape to adapt to the new economic realities and the changing shape of our clients' businesses."

But, it's not just the clients' businesses that are changing. As we reveal today, Clifford Chance has issued a warning to partners that profit will fall by a third (see story).

Before you spare too much sympathy for the Clifford Chance partnership, consider first that the cut will take plateau partners annual pay from GBP1.32m down to GBP900,000. Which as you're probably aware, is still loads of money.

Or in the words of this week's leader "any Clifford Chance partner who is genuinely outraged at the thought of earning less than a million a year ought to be horsewhipped, preferably in front of the associates facing redundancy." Read on for more.

Clifford Chance redundancies: your view

There's only one story anyone is interested in at the moment: the goings-on at Clifford Chance. Yesterday the firm announced that it was axing up to 80 associates and putting 880 London lawyers in consultation (see story).

Your comments are coming thick and fast. On balance, Clifford Chance is coming out well, getting credit for being open about the redundancies. Other magic circle firms, by contrast, have all stated they are not making redundancies, but rumours that they're making layoffs by stealth continue.

Clifford Chance London managing partner Jeremy Sandelson had the unenviable job yesterday of speaking to each of the eight practice groups in turn, finishing off with the trainees (who are pretty much the only ones spared). Read more about that on today's Legal Job Watch blog.

In another twist, The Lawyer revealed today that the CC partner cash call was not GBP40m, as has been widely reported, but nearer GBP60m, bolstering the firm's retained capital by half (see story).

With banks getting tighter on their lending, it looks like Clifford Chance took its opportunity when it could - just when the financial chaos of the autumn was beginning.

It's not altogether happy times at Clifford Chance.

As we report today, the magic circle firm is looking to make up to 80 lawyers redundant in London (see story).

UK head Jeremy Sandelson began the internal meetings this morning, kicking off - ominously for those in the department - in finance, one of the worst-hit groups over the last six months.

The cheaper newly-qualifieds have escaped the chop, but there's still a review pending for business services staff. A total of 880 people are nominally now in consultation: the biggest number yet according to our Legal Job Watch.

Clifford Chance partners are adamant that the firm has to be upfront. "I would rather do this with a transparent consultation process that treats people considerately and in accordance with the law rather than doing things surreptitiously," declares capital markets partner David Bickerton.

A debate has already started on TheLawyer.com about Clifford Chance's travails.

But the next question is: how many partners will have to go? If ten per cent of the UK assistant base is being chopped, it follows that the management is also scrutinising partnership numbers. A concern that, as we reported on Monday, is shared by some two thirds of law firm partners (see story).

After all, it wouldn't do for the leverage ratio to get out of sync - unless Clifford Chance is radically rethinking its model. A model which, as we also reported this week, increasing numbers of senior lawyers are questioning (see story).

In the meantime partners are having to stump up an average of GBP100,000 each in capital contributions. Making for not such a happy new year.

Sonnenschein Nath & Rosenthal was celebrating New Year after bagging a coveted lead role on a $13.9bn M&A deal - that's big potatoes in these troubled times (see story).

Sonnenschein will be hoping that the IndyMac deal will kickstart a brighter 2009, after a dire 2008 that saw market conditions hit its core real estate and litigation practices. The firm plumbed new depths for the US legal market last summer when it laid off a then-unprecedented 124 staff.

Despite the layoffs, Sonnenschein has bounced back and celebrated the end of 2008 with a Christmas gift to itself of 100 lawyers from Thacher Proffitt & Wood.

The coup doubled the size of its New York office, and the IndyMac transaction could be a transformative one for the Chicago-based firm.

Robert Azarow, who brought the deal with him from Thacher, was one of 10 corporate partners who joined Sonnenschein in late December. Well, at least they're busy. It's unlikely the 26 former Thacher structured finance partners or the five real estate partners will be celebrating any $13.9bn deals in the near future.

But all can count themselves lucky not to be left behind at Thacher Proffitt, which is facing the prospect of dissolution and the painful process of dealing with a mountain of debt.

The long-awaited, much-hyped liberalisation of the Indian legal market has come a little closer, with India passing new laws that could pave the way for the Indian LLP (see story).

As things stand, Indian law firms can't have more than 20 partners under Bar Council rules, which provide a handy response for the Indian profession's handful of vastly wealthy equity partners to use, should the not-so-wealthy lawyers raise the equity question.

Here in Blighty Clifford Chance's India head Chris Wyman and the Law Society have both cautiously welcomed the move, while in India 15-equity-partner Indian major J Sagar Associates is paying lip service to it.

Behind the scenes, however, many seasoned India watchers are more sceptical, fearing that the kingmakers who have hitherto held back liberalisation of the Indian legal market will make sure that feet are dragged on progressing the LLP to law firms too.

But not one poster on TheLawyer.com, who remarks; "Non-equity lawyers outnumber equity partners by 10 to 1 if not more, and liberalisation is unavoidable," the poster writes. "India is a democracy!"

Second firm faces miners tribunal

The fallout from the miners' compensation scheme is becoming major,
with the Solicitors Regulation Authority today accusing six Raleys
Solicitors partners of scamming the scheme.

The firm had 29,000 miners as clients, not all of whom are happy.

The move comes just a month after the Solicitors Disciplinary Tribunal
struck off Beresfords Solicitors partner Jim Beresford for milking payments
to sick miners under the Government's British Coal compensation scheme Which
is probably the reason a row has broken out over John Mann MP's opinion
piece in this week's edition of The Lawyer which argues it's high time

Still, miners compensation lawyers aren't the only ones to have
behaved badly.

partner has been fined GBP300 for exposing himself at a posh restaurant

It's been a bleak start to the year for the 100-odd Thacher Proffitt & Wood lawyers left
abandoned by their chairman right before Christmas.

For those of you who had already left for the holidays, let us remind you what actually
happened: faced with being part of a firm in a tricky financial situation Thacher Proffitt
chairman Paul Tvetenstrand and 99 of his colleagues jumped shipped for Sonnenschein Nath &
Rosenthal late last month Which was hard lines for those left behind. Not only will the
remaining lawyers have to hammer out a dissolution plan for the firm as a matter of urgency,
but they will have to do it without a number of practice group heads and, crucially, minus a
chairman.See story:

The brutal blow comes after Thacher Proffitt, which was hit hard by the death of structured
finance work, saw merger discussions with King & Spalding break down.

Defections are expected during such trying times, but the defection of the chairman? That's

Knowles and former Norton Rose head and City Lord Mayor David Lewis have been admitted to the ranks of Galahad, Launcelot, Bob and Alan on behalf of their services to the legal profession.

Knowles has been DLA managing partner since 1996, and in that time has taken it from being a regional British law firm to being the world's largest by lawyer numbers, with offices in 28 countries and a turnover of more than a billion.
